Terms of Service
Effective date: June 12, 2026.
1. Overview
These Terms of Service govern access to and use of the BeatBidding website, marketplace, seller tools, bidding features, digital asset delivery flows, and related services.
BeatBidding is intended to host premium music-related digital assets and related seller drops, including exclusive beats, sound kits, stems, sample-based products where legally permitted, and live or limited-access producer experiences.
These terms establish the baseline rules for account use, bidding, purchases, delivery, seller conduct, and platform enforcement.
2. Eligibility and accounts
Users must be legally able to enter a binding agreement in their jurisdiction. BeatBidding may refuse access, suspend accounts, or require identity or business verification where appropriate.
Users are responsible for maintaining the confidentiality of their account credentials and for activity occurring under their account unless caused by the platform’s own breach of duty.
3. Marketplace role
BeatBidding operates as a platform and marketplace facilitator. Unless expressly stated otherwise, BeatBidding does not become the author, producer, or owner of seller-submitted assets merely by hosting or processing a transaction involving them.
BeatBidding may moderate listings, remove content, hold payouts, investigate rights claims, and intervene in disputes to protect the platform and its users.
4. Bidding and purchases
Placing a bid may create a binding commitment to complete the purchase if the bidder wins under the applicable listing rules. Users must not place fake, manipulative, collusive, or bad-faith bids.
Listings may include reserve prices, minimum increments, fixed-price conversions, time extensions, seller approval features, or other auction logic disclosed on the listing page.
BeatBidding may cancel, void, or reverse a listing or transaction where there is suspected fraud, technical error, rights uncertainty, payment failure, prohibited conduct, or a violation of these terms.
5. Payments, fees, and taxes
Users authorize BeatBidding and its payment processors to charge the payment method used for bids, purchases, fees, taxes, penalties, and other amounts owed in connection with the service.
Platform fees, processor fees, foreign exchange effects, refunds, chargebacks, tax handling, and payout timing may be described separately in seller-facing materials or on the platform.
Users are responsible for taxes associated with their own transactions unless the platform is legally required to collect, withhold, or remit a tax on their behalf.
6. Final-sale framework
Unless otherwise required by law or expressly stated on a listing, completed digital asset purchases are intended to be final sale because the buyer receives access to unique or limited digital goods and related rights.
BeatBidding may still issue or facilitate remedies in narrow cases such as proven fraud, duplicate sale of an exclusive asset, material misrepresentation, non-delivery, corrupted files, or unauthorized seller activity.
7. Rights granted to buyers
The rights a buyer receives depend on the specific listing and accompanying license language. Exclusive assets should clearly state what commercial rights transfer, what underlying rights remain reserved if any, and whether credit, attribution, or royalty obligations apply.
If a listing is described as exclusive, the seller is expected not to relicense or resell that same exclusive asset after the sale except where the listing expressly disclosed a different structure.
8. Seller warranties
Sellers represent and warrant that they have the right to list, license, sell, and deliver the asset; that the listing is accurate in all material respects; and that completing the sale will not knowingly infringe another person’s intellectual property, contract rights, publicity rights, or other legal rights.
Sellers must not upload malware, deceptive files, or assets that contain uncleared third-party material unless the listing explicitly and lawfully discloses that structure and BeatBidding permits it.
9. Prohibited conduct
Users may not engage in fraud, bid manipulation, shill bidding, scraping beyond permitted use, account takeovers, spam, harassment, infringement, reverse engineering of restricted systems, or attempts to bypass fees, moderation, or security controls.
Users may not use the platform to sell content that is unlawful, defamatory, infringing, hateful, exploitative, or otherwise prohibited by platform policy.
10. Intellectual property and takedowns
BeatBidding may provide a process for reporting infringement, unauthorized listings, impersonation, or ownership disputes. The platform may remove listings, disable access, request evidence, or hold funds while investigating.
Users who repeatedly abuse intellectual property rights or repeatedly submit abusive or false claims may be suspended or removed.
11. Suspension and termination
BeatBidding may suspend, restrict, or terminate access where reasonably necessary for security, legal compliance, suspected fraud, non-payment, repeated complaints, rights disputes, or material breach of these terms.
Termination does not eliminate obligations already accrued, including payment obligations, indemnity obligations, or duties related to completed transactions.
12. Disclaimers
The service is provided on an ‘as is’ and ‘as available’ basis to the maximum extent permitted by law. BeatBidding does not guarantee uninterrupted availability, error-free operation, or that every listing is accurate or lawful, although it may take reasonable steps to review and moderate listings.
13. Limitation of liability
To the maximum extent permitted by law, BeatBidding and its founders, officers, employees, and service providers are not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising out of or related to the service.
Any direct liability is limited to a commercially reasonable amount tied to fees paid to the platform during the applicable claim period, to the maximum extent permitted by law.
14. Indemnity
Users agree to indemnify and hold BeatBidding harmless from claims, losses, liabilities, and expenses arising from their content, listings, transactions, infringement, misconduct, or breach of these terms, to the extent permitted by law.
15. Governing law and disputes
These terms are governed by the law and dispute process identified in the governing notices, checkout materials, or final incorporated business terms published by BeatBidding.
16. Changes
BeatBidding may update these terms from time to time. Continued use after an update may constitute acceptance, subject to any legal requirements for notice or consent.
17. Operational notices
BeatBidding may publish additional fee schedules, payout notices, complaint channels, and service-specific policies alongside these terms where appropriate.
